Business to Customer (B2C) and B2B Clients
1. Application
These Terms and Conditions apply to the purchase of goods by you (the Customer or you) from Narsingdi Ventures Limited, a company registered in England and Wales under company number 15259272, with a registered office at 63-66 Hatton Garden, London, England, EC1N 8LE (referred to as Supplier, we, or us). By ordering any goods, you agree to be bound by these Terms and Conditions.
To place an order on our website, you must accept these Terms and Conditions by clicking the ‘I Accept’ button. You can only purchase goods if you are at least 18 years old and legally eligible to enter into a contract.
2. Interpretation
- Consumer: An individual acting for purposes outside of their trade, business, craft, or profession.
- Contract: The legally binding agreement between you and us for the supply of goods.
- Delivery Location: The place where the goods are to be delivered, as specified in the order.
- Durable Medium: Paper, email, or any other medium that enables information to be stored and retrieved for future reference.
- Goods: Products advertised on the website and specified in the order.
- Order: Your order for goods submitted following the step-by-step instructions on the website.
- Privacy Policy: The policy outlining how we handle confidential and personal information.
- Website: Our site at www.abiselectronics.com where goods are advertised.
3. Goods
- Description: The goods are described on the website, catalogues, or other advertisements. Variations in colour or size may occur due to manufacturing.
- Custom Orders: If goods are made to your specifications, you are responsible for ensuring accuracy.
- Availability: All goods are subject to availability, and we reserve the right to make necessary changes to comply with legal or safety requirements, notifying you of any changes.
4. Personal Information
We handle your information as outlined in our Privacy Policy. By using our site, you consent to us contacting you by email or post.
5. Basis of Sale
- Order Process: The website order process allows you to check and amend errors before submitting your order. A contract is only formed once we confirm the order via email.
- Quotation Validity: Quotations are valid for 7 days unless withdrawn earlier.
- Consumer Contract: These Terms and Conditions apply only if you are purchasing as a consumer. Business purchases may be subject to alternative terms.
6. Price and Payment
- Pricing: Prices include VAT and are as listed on the website at the time of order.
- Payment: Payment is required at the time of order, either by credit or debit card.
7. Delivery
- Timing: We will deliver within the agreed time, or within 30 days if no specific time is agreed. If we fail to deliver on time, you may treat the contract as ended if delivery was essential or if we still fail to deliver within a specified period.
- Returns on Non-delivery: If you cancel due to non-delivery, we will refund all payments.
- Delivery Outside the UK: We may deliver outside the UK at our discretion. Additional duties or taxes are your responsibility.
- Instalments: We may deliver in instalments if required.
- Customer Responsibility: Goods become your responsibility upon delivery. Inspect goods upon receipt and notify us of any issues.
8. Risk and Title
- Risk: The risk of damage or loss transfers to you upon delivery.
- Ownership: You do not own the goods until we have received full payment. If payment is overdue, we reserve the right to cancel delivery and reclaim the goods.
9. Withdrawal, Returns, and Cancellation
- Right to Withdraw: You may cancel before the contract is made, without obligation.
- Right to Cancel: You have a right to cancel within 14 days of receiving the goods, except for customized items or goods with a rapid expiration.
- B2B Purchases: For B2B clients, sales are final with no return or cancellation options.
- Exclusions: Certain goods (e.g., health-related sealed items or perishable goods) are exempt from cancellation rights.
Effects of Cancellation
- Reimbursement: If cancelled within 14 days, we will refund all payments, excluding any extra delivery costs you requested.
- Deductions: Deductions may be made for unnecessary handling.
- Return of Goods: If you cancel, you must return goods within 30 days at your expense.
10. Conformity and Guarantee
- Conformity: We ensure the goods meet satisfactory quality and purpose.
- Guarantee: Goods come with a manufacturer’s guarantee and a minimum 12-month warranty unless specified otherwise.
11. Successors and Sub-contractors
Either party may transfer the benefit of this contract. We are responsible for any sub-contractors we employ.
12. Circumstances Beyond Control
If an unforeseeable event prevents either party from fulfilling obligations:
- Notification: We will notify you as soon as possible.
- Suspension: Obligations will be suspended as long as necessary.
13. Privacy
Your privacy is important to us, and we comply with GDPR regulations. These Terms and Conditions should be read alongside our Privacy Policy.
14. Excluding Liability
- Limitations: We do not exclude liability for fraud, death, or personal injury caused by negligence. We are not liable for unforeseeable loss, business loss, or profit loss unrelated to consumer transactions.
15. Governing Law, Jurisdiction, and Complaints
- Jurisdiction: This contract is governed by the laws of England and Wales.
- Complaints: We aim to resolve disputes quickly. Contact us, and we’ll respond within 5-7 working days.
